These Etherscan Premium Services Terms and Conditions ("Premium Terms") supplement and form part of the Etherscan Terms of Service available at https://etherscan.io/terms (the "General Terms"). By subscribing to, accessing, or using any Etherscan Premium subscription, feature, or paid account tier (collectively, the "Premium Services"), you agree to be bound by these Premium Terms together with the General Terms. In the event of any inconsistency between these Premium Terms and the General Terms, these Premium Terms shall prevail solely to the extent of such inconsistency in relation to the Premium Services.

1. Premium Services

Subject to compliance with these Premium Terms and the General Terms, Etherscan may make available certain subscription-based or paid services, features, functionality, tools, enhancements, content, access rights, usage entitlements, benefits, or other offerings through the Premium Services from time to time.

The scope, nature, availability, specifications, limitations, eligibility requirements, technical parameters, and composition of any Premium Services shall be determined solely by Etherscan and may be modified, updated, restricted, suspended, discontinued, substituted, or withdrawn at any time, with or without notice.

Access to Premium Services may vary depending on subscription tier, account standing, jurisdiction, technical compatibility, blockchain support, service availability, operational considerations, or other factors determined by Etherscan in its sole discretion.

Nothing in these Premium Terms shall obligate Etherscan to continue offering any particular Premium Service, feature, functionality, or benefit for any minimum duration or in any specific form.

2. Subscription, Billing and Renewals

You agree that we may charge to your credit card, Account (as defined in our Terms of Service) or any other payment mechanism selected by you and approved by us for all amounts due and payable for the Premium Services, including and service fees, set up fees, subscription fees, or any other applicable fees, tax, or charge associated with your Account.

You accept all responsibility for any bank transfer charges; currency conversion losses and administrative fees associated with the making of payment for the use of the Premium Services. You shall further accept any responsibilities relating to taxes, including but not limited to, service tax, withholding tax, goods and services tax, value added tax and any other associated levies.

We may change our subscription prices at any time and in our discretion, however, we will provide you with prior notice and an opportunity to terminate your Account if we change the price of a Premium Services to which you are subscribed and will not charge you for a previously free Premium Service unless you have been notified of the applicable fees and agree to pay such fees including by your conduct of using the Premium Services.

You may cancel your Premium subscription at any time. However, if you cancel:

• a)	payments already made are non-refundable and we do not provide refunds or credits for any Premium Service already paid for; and

• b)	you will not be billed for any additional / renewal subscription term, and Premium Services will continue until the end of the current subscription term or billing cycle whether or not you choose to utilize the Premium Services.

If you do not wish for the subscription term to continue and be charged for the service, you must cancel the subscription before the next billing date to avoid being charged for the next subscription period. All payments made are final and strictly non-refundable. For further details, please refer to our Refund Policy, which forms an integral part of these Terms.

Etherscan shall not be held liable for any damages, losses, or expenses arising from your negligence if you fail to cancel your subscription. It is your responsibility to manage your subscription and cancel it before the renewal date. By agreeing to these terms and conditions, you acknowledge that Etherscan has no responsibility for any such negligence and waives any claims against Etherscan related thereto.

Where applicable, the billing portal may provide an auto-billing date where information such as a renewal subscription term that will begin automatically after the initial subscription term or another renewal term will be reflected in your Account unless you cancel or terminate prior to the commencement of new term.

We reserve the right to suspend or cancel your use of the Premium Services if we reasonably believe that the transaction may be fraudulent, illegal or involves any criminal or immoral activity. The suspension shall be for a period as we at our discretion determine necessary to investigate the matter and shall be lifted if we are satisfied that you are not involved in any fraudulent, illegal or criminal activity. In such an event, you shall not be entitled to any pro-rata refund or hold us liable for any withholding of, delay in, suspension, forfeiture or cancellation of, any payments. However, we may grant extension of time on the contractual term accounting for the suspended periods, assessed on a case-by-case basis.

If you have purchased Premium Services from Etherscan for a specific term, such termination will only be effective on the last day of the then-current term and you will continue to have access to the paid Premium Services throughout until the end of your billing period.

3. Cancellation and Termination

Users may cancel their Premium subscription at any time through the user dashboard or such other method designated by Etherscan. Unless otherwise expressly stated, cancellation shall take effect at the end of the then-current billing period, and no refunds, credits, or pro-rated reimbursements shall be provided for any unused portion of the subscription period.

Cancellation of a Premium subscription shall not relieve the User of any outstanding payment obligations accrued prior to the effective date of cancellation.

Upon cancellation, expiration, suspension, downgrade, or termination of the Premium Services for any reason, the User’s access to Premium features, entitlements, usage allocations, badges, limits, account privileges, or other subscription-related benefits may immediately cease, revert, or become unavailable without liability to Etherscan. Certain user content, settings, labels, notes, or configurations associated with Premium functionality may also become inaccessible, restricted, removed, or subject to standard account limitations.

Etherscan reserves the right, at any time and in its sole discretion, to suspend, restrict, downgrade, terminate, or refuse renewal of any Premium subscription or access to Premium Services, with or without notice, including where Etherscan determines that the User has violated these Premium Terms, the General Terms, applicable law, platform integrity requirements, or has otherwise exposed Etherscan to legal, operational, reputational, security, or commercial risk.

Termination, cancellation, suspension, expiration, or discontinuation of the Premium Services shall not affect any rights, remedies, disclaimers, limitations of liability, intellectual property protections, payment obligations, usage restrictions, or other provisions which by their nature are intended to survive termination.

4. No Guarantee of Continuous Availability

Etherscan does not guarantee uninterrupted access to any Premium Service, Premium feature, verification badge, usage allocation, or account entitlement.

Premium Services may be unavailable, interrupted, degraded, modified, delayed, rate-limited, suspended, or discontinued due to maintenance, infrastructure issues, blockchain-related issues, third-party dependencies, security incidents, abuse prevention measures, operational decisions, legal requirements, or other causes.

5. Acceptable Use

Without limiting the General Terms, users shall not:

• a)	misuse Premium features to impersonate third parties or create misleading impressions of affiliation, endorsement, legitimacy, or authorization;

• b)	use verification badges in a deceptive, fraudulent, unlawful, or misleading manner;

• c)	exploit AI Features for unlawful activity, harmful automated decision-making, disinformation, or scraping;

• d)	attempt to circumvent subscription limits, usage allocations, access restrictions, or account controls;

• e)	resell, sublicense, share, lease, distribute, or commercially exploit Premium access except as expressly authorized in writing by Etherscan.

Etherscan reserves the right to suspend or terminate Premium access for any violation of these Premium Terms, the General Terms, applicable laws, or platform integrity requirements.

6. Refunds

Except where required by applicable law or expressly stated otherwise by Etherscan in writing, all Premium subscription fees and payments are final and strictly non-refundable. For further details, please refer to our Refund Policy, which forms an integral part of these Terms.

Downgrades, partial usage, non-usage, suspension, temporary interruptions, discontinued features, or dissatisfaction with AI-generated outputs shall not entitle users to refunds, credits, or compensation.

7. Data Access and Usage Restrictions

Access to the Premium Services does not grant users any ownership rights, commercial rights, licensing rights, redistribution rights, resale rights, or proprietary interests in or to any Etherscan data, blockchain data presentation, analytics, labels, metadata, APIs, explorer outputs, platform functionality, or associated services.

Premium subscriptions are provided solely for the user's internal and personal use in accordance with these Premium Terms and the General Terms.

Without limiting any restrictions under the General Terms, users shall not, whether directly or indirectly:

• a)	resell, sublicense, redistribute, commercialize, republish, lease, syndicate, or otherwise exploit Etherscan data, outputs, or services;

• b)	use the Premium Services as part of any competing product, analytics offering, blockchain intelligence platform, explorer service, API service, commercial dashboard, or data aggregation service;

• c)	systematically extract, scrape, mirror, index, harvest, store, or reproduce Etherscan content, labels, metadata, notes, analytics, or platform outputs beyond permitted usage;

• d)	use Premium access to circumvent platform limitations, licensing restrictions, commercial access requirements, or API usage limitations; or

• e)	represent that any Etherscan data, labels, analytics, or outputs originate from any source other than Etherscan.

For the avoidance of doubt, the Premium Services are intended primarily to provide an enhanced user experience, including ad-free browsing, increased private organizational limits, and access to selected premium, experimental, or early-access functionality. Premium subscriptions do not provide users with any expanded ownership, licensing, commercialization, redistribution, or resale rights relating to Etherscan's platform, datasets, infrastructure, services, or intellectual property.

8. Intellectual Property

All rights, title, and interest in and to the Premium Services, including all related software, source code, object code, APIs, databases, user interfaces, layouts, workflows, designs, visual elements, badges, labels, identifiers, analytics, compilations, documentation, configurations, algorithms, models, data structures, know-how, proprietary methodologies, trademarks, service marks, logos, trade dress, copyrights, and other content or materials made available through or in connection with the Premium Services, together with all modifications, enhancements, updates, derivative works, and improvements thereof, shall remain vested solely and exclusively in Etherscan and/or its licensors.

Except for the limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Premium Services in accordance with these Premium Terms, nothing contained herein shall operate as an assignment, transfer, conveyance, license, waiver, or grant of any ownership or intellectual property rights to the User, whether by implication, estoppel, exhaustion, or otherwise.

Users shall not, and shall not permit or assist any third party to, copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, extract, frame, mirror, republish, distribute, commercialize, lease, sublicense, resell, exploit, create derivative works from, or otherwise use the Premium Services or any portion thereof except as expressly permitted by Etherscan in writing.

Without limiting the foregoing, Users shall not use the Premium Services, including any data, analytics, labels, tags, identifiers, or associated functionality, for the purpose of building, benchmarking, training, improving, operating, or supporting any competing product, service, dataset, machine learning model, blockchain explorer, analytics platform, or commercial offering.

Any feedback, suggestions, recommendations, enhancement requests, corrections, ideas, or other input submitted by a User relating to the Premium Services may be used by Etherscan without restriction or compensation, and the User hereby irrevocably assigns and waives any rights in relation to the same to the fullest extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHERSCAN DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND GUARANTEES RELATING TO THE PREMIUM SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY.

WITHOUT LIMITING ANY LIMITATION OF LIABILITY PROVISIONS CONTAINED IN THE GENERAL TERMS, ETHERSCAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ECONOMIC LOSSES ARISING OUT OF OR RELATING TO THE PREMIUM SERVICES, INCLUDING LOSS OF PROFITS, LOSS OF OPPORTUNITY, LOSS OF DATA, LOSS OF DIGITAL ASSETS, REPUTATIONAL HARM, TRADING LOSSES, COMPLIANCE FAILURES, OR RELIANCE ON AI-GENERATED OUTPUTS.

10. Modifications

Etherscan reserves the right to amend, revise, modify, suspend, replace, discontinue, or update these Premium Terms or any Premium Service at any time.

Continued use of the Premium Services following any such amendment or update constitutes acceptance of the revised Premium Terms.

11. Incorporation of General Terms

All provisions of the Etherscan General Terms, including but not limited to disclaimers, intellectual property protections, acceptable use restrictions, dispute resolution provisions, indemnities, limitations of liability, governing law provisions, and enforcement rights, are incorporated into these Premium Terms as if fully set out herein.

Users acknowledge that the Premium Services are supplemental subscription-based offerings layered on top of the broader Etherscan platform and ecosystem governed by the General Terms.
